01 Acceptance of this Agreement
By clicking on the "Enroll," "Sign Up," or any similar option, the participant ("You" or "Your") agrees to the Terms and Conditions, obligations, representations, warranties, and agreements contained herein (the "Agreement"). If You are not willing to accept the Agreement, You shall not be authorized or allowed to proceed further to view or use, in any manner, any content, information, courseware, products, and services ("Services") published, available, or provided on prodac.in (the "Website"), which is owned, maintained, and monitored by Pro DAC Solutions ("Us," "We," or "Our").
02 User ID and Password
By entering into this Agreement, You acknowledge and agree that Your user ID and password ("Participant Account") is for Your exclusive use only. Use or sharing of Your Participant Account with another user is not permitted, and is cause for immediate blocking of Your access to the Website, the Services, and the Content and Courseware, and termination of this Agreement.
You agree that You are solely responsible for maintaining the confidentiality of Your Participant Account and for all activities that occur under it. You agree to immediately notify Us at enquiry@prodac.in if You become aware of, or have reason to believe, that there is any unauthorized use of Your Participant Account. You also agree to take all reasonable steps to stop such unauthorized use and to cooperate with Us in any investigation of it. We shall not, under any circumstances, be held liable for any claim related to the use or misuse of Your Participant Account due to the activities of any third party outside Our control, or due to Your failure to maintain the confidentiality and security of Your Participant Account.
03 Content and Courseware
As part of the Services offered through the Website, We grant You access to Our content, courseware, live classes, session recordings, assignments, projects, and other information, documents, and data, which may be in audio, video, written, graphic, recorded, photographic, or any machine-readable format, in relation to the specific Program You have enrolled for through the ProDAC LMS ("Content and Courseware").
We reserve the right to amend, revise, or update the Content and Courseware offered to You, to keep it current with industry practice. Where such an amendment meaningfully expands the Program beyond what You enrolled for, We will not charge You an additional fee unless We have told You upfront that it is a paid add-on.
04 Usage of the Website and Services
We grant You a personal, restricted, non-transferable, non-exclusive, and revocable licence to use the Website, the Services, and the Content and Courseware offered through the Website, till the completion of the Program You have enrolled for, or the termination of this Agreement according to the terms set out herein, whichever is earlier. The Services and the Content and Courseware are provided solely for Your personal and non-commercial use, to assist You in completing the Program You have registered for ("Restricted Purpose").
You are permitted online access to the Website, the Services, and the Content and Courseware, and may download, save, or print the Content and Courseware solely for the Restricted Purpose.
You are not permitted to reproduce, transmit, distribute, sub-license, broadcast, disseminate, or prepare derivative works of the Content and Courseware, or any part of it, in any manner or through any communication channel, for any purpose other than the Restricted Purpose, without Our prior written consent.
05 Intellectual Property Rights
While You are granted a limited and non-exclusive right to use the Website, the Services, and the Content and Courseware for the Restricted Purpose as set out in this Agreement, You acknowledge and agree that We are the sole and exclusive owner of the Website, the Services, and the Content and Courseware, and are vested with all Intellectual Property Rights and other proprietary rights in them.
Any assignments, projects, or code You create as part of a Program remain Yours. By submitting them to Us, You allow Us to use them to evaluate Your progress and, unless You tell Us otherwise in writing, to showcase them (for example, as sample learner work) for marketing purposes.
Other than permitting You to use the Website, the Services, and the Content and Courseware for the Restricted Purpose, this Agreement does not convey to You, in any manner or form, any right, title, or interest of a proprietary or any other nature in the Website, the Services, or the Content and Courseware.
06 Certification
Where a Program includes a certificate of completion, skill badge, or portfolio project sign-off, these are issued at Our discretion once You meet the completion criteria for that Program (attendance, assignments, assessments, or project submission, as applicable). Our certificates and badges are not degrees or diplomas recognised by any statutory body such as the UGC or AICTE, and We make no representation as to how any third party (employer, institution, or regulator) will regard them. Certificates may be checked using Our certificate validation tool; any certificate that does not verify there, or that has been altered or fraudulently produced, is invalid and may be reported to the appropriate authorities.
07 Placement Assistance
Where a Program includes career support (resume reviews, mock interviews, LinkedIn guidance, aptitude training, internship opportunities, or introductions through Our hiring partner network), this is provided on a best-efforts basis. We do not guarantee placement, an internship, a job offer, an interview, or any particular salary or career outcome. Hiring and internship decisions rest entirely with the partner organisation.
08 Fees and Refunds
Fees for a Program are payable as specified at the time of enrollment, together with applicable GST. We use third-party payment gateways and do not store Your card or banking details Ourselves. Refund terms, if any, are set out in the enrollment form, order confirmation, or fee receipt issued to You at the time of enrollment, and form part of this Agreement. Where no refund terms are communicated at enrollment, fees paid are non-refundable, except as required under the Consumer Protection Act, 2019.
09 Use of Your Personal Information
We collect the information You provide when You register on the Website (such as Your name, email address, phone number, and password) and when You enroll in a Program (such as billing details, processed through Our third-party payment gateway, which We do not separately store). We may also collect information shared with mentors or staff during a Program, and technical information such as Your IP address and browser type, to help Us run and improve the Website.
We use this information to provide the Services, verify Your identity, process payments, communicate with You about Your Program, respond to support requests, and, where You have consented, tell You about other ProDAC offerings.
We reserve the right to feature Your picture in any photos, videos, or other promotional material used by Us, and to use Your project work as described under Intellectual Property Rights above, unless You tell Us otherwise in writing.
We do not sell or distribute Your personal information to any third-party marketing database. We may share it with Our service providers (for example, payment gateways, hosting providers, and communication tools) solely to enable them to provide services to Us, and with any other third party on a case-to-case basis after proper verification, or where required under applicable law.
We retain Your information for as long as needed to provide the Services and meet Our legal obligations, and use reasonable technical and organisational measures to protect it, consistent with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 (together with the Digital Personal Data Protection Rules, 2025, as they come into force in phases). You may write to Us at enquiry@prodac.in to access, correct, or request deletion of Your personal information, or to withdraw any consent You have given, subject to applicable law.
10 Acceptable Use
While using the Services, You agree not to: harass or abuse any Learner, mentor, or staff member; use unfair means in any assessment, or share assessment answers with others; upload unlawful, defamatory, or infringing material; impersonate anyone; or attempt to hack, scrape, or otherwise compromise the Website. We may suspend or terminate Your access, without refund, for any breach of this clause.
11 Limitation of Liability
You expressly agree that the use of the Website, the Services, and the Content and Courseware is at Your sole risk. We do not warrant that the Website or the Services, or access to the Content and Courseware, will be uninterrupted or error-free, nor is there any warranty as to the results that may be obtained from their use, or as to the accuracy or reliability of any information provided through them. In no event will We, or any person or entity involved in creating, producing, or distributing the Website, the Services, or the Content and Courseware, be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use of, or inability to use, the Website, the Services, or the Content and Courseware.
This disclaimer applies to any and all damage or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft, destruction, or unauthorized access to, alteration of, or use of records or any other material, whether for breach of contract, negligence, or under any other cause of action.
You acknowledge that We are not liable for any defamatory, offensive, wrongful, or illegal conduct of any third party, or other User of the Website, the Services, or the Content and Courseware, and that the risk of damage or injury from the foregoing rests entirely with each User.
Our liability, and that of Our employees, mentors, and representatives, arising out of any legal claim (whether in contract, tort, or otherwise) connected with the Services or the Content and Courseware, shall not exceed the fee You paid for the particular Program. This limitation does not apply to liability for fraud, wilful misconduct, or gross negligence, or anything that cannot be excluded under Indian law, including the Consumer Protection Act, 2019.
12 Term and Termination
This Agreement becomes effective upon Your acceptance of its terms, and, subject to this Agreement, remains in effect till You maintain a current, fully paid-up Participant Account, or until terminated, whichever is earlier.
We reserve the right to terminate this Agreement and block Your access to the Content and Courseware with immediate effect, by sending written notice through email, if such termination results from Your misrepresentation, default, misconduct, or breach of Your obligations under this Agreement ("Event of Default"). On the occurrence of any Event of Default, We shall be entitled to exercise all rights and remedies available under this Agreement, applicable law, or in equity.
The provisions of this Agreement relating to Intellectual Property Rights, Use of Your Personal Information, Limitation of Liability, Indemnity, and Governing Law shall survive the termination of this Agreement.
13 Indemnity
You agree to indemnify and hold Us, and Our employees, mentors, and representatives, harmless from and against any and all claims, losses, damages, liabilities, and expenses, including reasonable attorneys' fees, arising out of Your unauthorized use of the Website, the Services, or the Content and Courseware, or any violation or breach of this Agreement.
14 Waiver
Neither failure nor delay on Our part to exercise any right, remedy, power, or privilege under this Agreement shall operate as a waiver of it. No term of this Agreement shall be deemed waived, and no breach consented to, unless such waiver or consent is in writing. No waiver of any right, or consent to any breach, shall constitute a waiver of any other right, or consent to any other breach.
15 Severability
If any provision of this Agreement is held invalid or unenforceable under applicable Indian law, the remaining provisions shall continue in full force and effect, and this Agreement shall be read as though the invalid or unenforceable provision were replaced with a valid and enforceable provision that gives effect, as closely as possible, to the original intention of the parties.
16 Grievance Redressal
In line with the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, You may raise any grievance about the Website or the Services by writing to Us at enquiry@prodac.in or calling +91 81484 75484.
17 Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India, and the courts of competent jurisdiction in Tamil Nadu, India shall have exclusive jurisdiction over any matter relating to, in connection with, or arising out of, this Agreement.
18 Amendment and Assignment
We reserve the right to amend or modify this Agreement, and will publish the revised Agreement on the Website so that You are aware of the revisions. It is Your responsibility to check the Website periodically for any changes. Your continued use of, or access to, the Website, the Services, or the Content and Courseware, following the posting of any changes, constitutes Your acceptance of those changes.
You are not permitted to assign this Agreement, or the rights and obligations mentioned in it, to any third party, and You alone shall be held liable for any breach of this Agreement.
19 Entire Agreement
This Agreement, together with any Program-specific terms shared with You at the time of enrollment, and any additional guidelines, rules, or disclaimers posted on the Website, constitutes the entire agreement governing Your use of the Website, and supersedes any prior agreement relating to any matter dealt with in this Agreement.
